Inna Holova, the Head of the department of commodity research and research of intellectual property objects of Kyiv Scientific Research Institute of Forensic Expertise was a speaker at the scientific and practical seminar “Features of the valuation of minority shares of ownership and shares with the use of mechanisms SQUEEZE-OUT and SELL-OUT”.
The main goal of the seminar was to discuss the main features of the valuation of minority shares of ownership of enterprises of various legal forms, taking into account the requirements of existing national (NSO) and international (IVS-2017, EVS-2016) assessment standards.
Inna Holova, the expert of KFI presented to the participants a report on the approaches and practice of valuing shares and ownership shares by forensic experts.
In addition, the speakers disclosed the valuation of shares as stipulated by the Law of Ukraine “On Joint Stock Companies”, the valuation of majority and minority ownership shares of companies, the legal aspects of assessing the market value of shares in squeeze-out and sell-out procedures, etc.
In general, the topics of the seminar were caused by the requirements of the Law of Ukraine “On Joint Stock Companies”, which introduced mechanisms for the mandatory purchase and sale of minority shares under the squeeze-out and sell-out procedures.
Practical developments of the seminar should form the basis of the future project “Provisions on independent valuation of shares for conducting squeeze-out and sell-out procedures”, which must be further approved by a joint Order of the State Property Fund of Ukraine and the National Securities and Stock Market Commission.
